Part I — Terms of Use
1. Acceptance of These Terms
These Terms of Use (“Terms”) govern your access to and use of the websites, online courses, learning platform, mobile applications, AI-powered features, and related services (collectively, the “Services”) offered by WoundEducators.com, Inc., a Florida corporation (“WoundEducators,” “we,” “us,” or “our”). By creating an account, enrolling in any course, accessing the Services, or clicking a button or checkbox affirming your agreement, you agree to be bound by these Terms, our Privacy Policy, and our Refund and Course Access Policy, each of which is incorporated by reference. If you do not agree, do not access or use the Services.
These Terms include a binding arbitration clause and class-action waiver in Section 19. By agreeing to these Terms, you agree to resolve disputes individually and through arbitration unless you opt out as described in that Section.
2. About WoundEducators.com, Inc.
WoundEducators.com, Inc. is a Florida corporation operating online wound-care continuing education and certification preparation courses. WoundEducators is an exam-preparation provider. WoundEducators is not a certification body, does not administer certification examinations, and is not affiliated with the American Board of Wound Management (ABWM), the National Alliance of Wound Care and Ostomy (NAWCO), the Wound, Ostomy and Continence Nursing Certification Board (WOCNCB), or any other credentialing organization.
Our continuing education and continuing medical education activities are accredited or approved by the relevant accreditors as stated on each course’s product page and within the activity’s accreditation statement. Accreditation status, provider numbers, and credit-hour designations vary by activity, are governed by the issuing accreditor, and are subject to change without notice.
3. Eligibility
You must be at least 18 years old to create an account and purchase a course. The Services are designed for licensed and pre-licensed healthcare professionals and trainees. You represent that the information you provide during registration is accurate and that you have the legal authority to enter into these Terms.
4. Account Registration and Security
Accounts are issued to a single named individual. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access or use. We may suspend or terminate accounts that we reasonably believe are being shared, used in violation of these Terms, or used by a person other than the named accountholder.
5. Course Access License
Subject to your full and ongoing compliance with these Terms and payment of all applicable fees, WoundEducators grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Services and the course content you have purchased for your personal, individual, non-commercial educational use only, during the applicable course access period (see the Refund and Course Access Policy).
You may not, and may not permit any third party to:
- share your account, password, or course access with any other person;
- use the Services on behalf of any other individual, employer, or institution, except under a separate enterprise license signed by WoundEducators;
- copy, download, screen-record, reproduce, distribute, publicly display, modify, translate, or create derivative works of any course materials, narration audio, video, illustrations, photographs, slide content, study guides, AI prompts, or assessments;
- use the Services or any output of the Services to train, fine-tune, or evaluate any machine-learning, artificial-intelligence, or large-language model;
- circumvent any access control, watermark, digital-rights-management feature, or rate limit;
- scrape, harvest, or extract content using any automated means;
- resell, sublicense, rent, lease, or commercially exploit any portion of the Services;
- use the Services in any manner that violates applicable law, professional licensing rules, or third-party rights.
All rights not expressly granted are reserved. Your license terminates automatically at the end of the applicable course access period, upon any breach of these Terms, or upon termination of your account.
6. Intellectual Property
WoundEducators owns or licenses all right, title, and interest in and to the Services and all content made available through them, including without limitation written materials, narration audio, AI-generated and human-illustrated images, clinical photographs, video, slide presentations, study guides, assessments, AI system prompts and instructions, user-interface designs, and the selection, coordination, arrangement, and enhancement of the foregoing, together with all related copyrights, trademarks, service marks, trade names, trade dress, trade secrets, patents, and other intellectual property rights.
WOUNDEDUCATORS.COM®, the WoundEducators.com® logo, and WHERE THERE’S A WOUND, THERE’S A WAY!® are federally registered trademarks of WoundEducators.com, Inc. (U.S. Reg. Nos. 3,791,701; 3,827,247; and 5,525,510). Other product, service, and certification marks referenced on the Services, including without limitation CWCA®, CWS®, CWSP®, WCC®, AWCC®, NWCC®, and CWCN®, are the property of their respective owners and are used here only for descriptive and informational purposes. No endorsement, sponsorship, or affiliation is implied.
7. AI-Powered Features
The Services may include AI-powered features, including without limitation an AI tutor, AI-generated clinical scenarios, an AI wound-image evaluator, and AI-generated illustrations and narration (collectively, “AI Features”). The AI Features are educational simulations intended to support learning and exam preparation only. They are not medical advice, not clinical decision-support tools, and not for use in the assessment, diagnosis, treatment, or care of any real patient.
You acknowledge and agree that:
- AI Features may produce inaccurate, incomplete, outdated, or fabricated information, including with respect to wound staging, tissue type, etiology, recommended interventions, and citations.
- You will not rely on any AI Feature for clinical decisions concerning a real patient, and you will independently verify all clinically relevant information against current evidence-based guidelines, your scope of practice, your facility’s policies, and your professional judgment.
- AI Feature responses do not establish a clinician–patient or clinician–clinician relationship between you and WoundEducators or any AI provider.
- We may log and review queries, prompts, uploads, and responses for quality assurance, safety review, abuse prevention, content moderation, and improvement of the Services, consistent with the Privacy Policy.
- AI Features are provided pursuant to underlying agreements with third-party AI providers. WoundEducators is not responsible for outages, model changes, or content limitations imposed by those providers.
Where required by applicable accreditation standards (including ACCME Standards for Integrity and Independence and AAFP CME requirements), each activity that uses AI in content creation will include a learner-facing AI-use disclosure naming the AI tool, version, purpose, and clinical reviewer.
8. HIPAA, Patient Privacy, and User-Submitted Images
WoundEducators is not a covered entity, business associate, or subcontractor under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (“HIPAA”) for purposes of your use of the Services. The Services are not intended for the storage or transmission of protected health information (“PHI”), and we do not enter into HIPAA Business Associate Agreements in connection with these Terms.
If the Services permit you to upload wound photographs or other clinical media, you represent and warrant that, before uploading, you have:
- obtained any required authorization, consent, or release from the depicted individual under HIPAA, applicable state law, and your employer’s and facility’s policies;
- fully de-identified the media in accordance with the HIPAA Safe Harbor standard (45 C.F.R. § 164.514(b)(2)), removed all 18 identifiers, and stripped metadata (EXIF), or have otherwise lawful authority to share the media for educational purposes;
- not uploaded any media that you do not have the legal right to share.
You are solely responsible for compliance with HIPAA and applicable state privacy laws in connection with any media you submit. WoundEducators may refuse, remove, or delete any user-submitted media at any time, with or without notice.
9. Continuing Education, CME, and Certification Disclaimers
Our courses are designed to help prepare you for certification examinations offered by accredited credentialing bodies, namely ABWM (CWCA®, CWS®, CWSP®), NAWCO (WCC®, AWCC®, NWCC®), and WOCNCB (CWCN®). WoundEducators does not administer, score, or issue certification examinations or credentials, and does not guarantee that completing any course will result in your passing any certification examination or obtaining any credential. Pass rates depend on individual preparation, prior experience, exam administration, and other factors outside our control.
Continuing education and CME credit hours are awarded only upon completion of all applicable activity requirements (including any post-tests, evaluations, and attestation forms) within the applicable access period. Credit-hour designations and accreditation statements are governed by the issuing accreditor and are subject to change without notice. We reserve the right to update activities to maintain accreditation, including by modifying content, assessments, or required completion criteria.
10. Acceptable Use and Prohibited Conduct
You agree that you will not:
- violate any law, regulation, or third-party right;
- impersonate any person or misrepresent your credentials, employer, or affiliation;
- upload, transmit, or submit any content that is unlawful, harassing, defamatory, infringing, obscene, or harmful;
- upload PHI in violation of HIPAA or applicable state law;
- interfere with, disrupt, or attempt to gain unauthorized access to the Services or any related systems or networks;
- use the Services to compete with WoundEducators or to develop a competing course, product, AI model, or service;
- submit prompts intended to elicit responses that bypass safety guardrails, jailbreak the AI Features, or otherwise circumvent these Terms.
11. User-Submitted Content; License to WoundEducators
If you submit questions, comments, AI prompts, uploaded media, evaluations, feedback, or other content through the Services (“User Content”), you represent that you have the right to do so and grant WoundEducators a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, irrevocable license to host, reproduce, store, modify (including for de-identification, content moderation, safety review, and quality assurance), display, distribute internally, and otherwise use the User Content to operate, improve, and provide the Services and for record-keeping required by accreditors and applicable law. This license does not extend to using your User Content to train any third-party generative AI model without your separate consent, except for internal model evaluation and safety testing.
12. Third-Party Services, Content, and Links
The Services may include or link to third-party content, products, or services, including without limitation third-party reading platforms, clinical databases, payment processors, video hosts, AI providers, and social-media platforms. Your use of any third-party service is governed by the terms and privacy policies of that service. WoundEducators does not endorse, control, or assume responsibility for any third-party content or service.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WOUNDEDUCATORS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WOUNDEDUCATORS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT OR AI OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSE. NOTHING IN THE SERVICES CONSTITUTES MEDICAL, NURSING, LEGAL, OR PROFESSIONAL ADVICE.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WOUNDEDUCATORS, ITS AFFILIATES, OR ITS AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, PROFESSIONAL OPPORTUNITY, OR EXAMINATION RESULT, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO WOUNDEDUCATORS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold harmless WoundEducators, its affiliates, and its and their directors, officers, employees, agents, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right, including any HIPAA, patient-privacy, or intellectual-property right; (d) your User Content; or (e) any reliance by you or any third party on AI Feature output or course content in connection with the care of any actual patient.
16. Modifications and Termination
We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may suspend or terminate your account or access to the Services, in whole or in part, at any time for any reason, including without limitation suspected violation of these Terms. Sections that by their nature should survive termination (including Sections 5 through 22) will survive.
17. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on the Services with a new “Last Updated” date. If we make material changes, we will provide reasonable notice (which may include email to your registered address or a notice within the Services) before the changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Services.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Except for disputes subject to mandatory arbitration under Section 19, you and WoundEducators each irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida, and waive any objection based on inconvenient forum.
19. Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND WOUNDEDUCATORS TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS THE WAYS YOU CAN SEEK RELIEF FROM US.
19.1 Agreement to Arbitrate
You and WoundEducators agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect (the “AAA Rules”), as modified by this Section. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. WoundEducators will pay all AAA filing, administrative, and arbitrator fees that exceed the consumer filing fee set by the AAA Rules. The arbitration will be conducted in English, by a single arbitrator, and may be conducted in person in Palm Beach County, Florida, by telephone, by video, or by written submission, at your election.
19.2 Class-Action and Class-Arbitration Waiver.
YOU AND WOUNDEDUCATORS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of class or representative proceeding.
19.3 Mass-Arbitration Procedures.
If twenty-five (25) or more substantially similar arbitration demands are filed against WoundEducators within a sixty (60) day period by or with the assistance of the same law firm or coordinated counsel, those demands shall be administered under the AAA Mass Arbitration Supplementary Rules then in effect, including any provisions for batching, process arbitrator appointment, and staged proceedings under those rules.
19.4 Small-Claims Carve-Out.
Either party may bring an individual action in small-claims court for Disputes within the jurisdictional limit of that court (currently $8,000 in Florida), in lieu of arbitration.
19.5 Injunctive and Equitable Relief
Notwithstanding the foregoing, either party may bring an individual action in a court of competent jurisdiction for injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of intellectual-property rights or confidential information.
19.6 Opt-Out Right
You may opt out of this Section 19 by sending written notice of your decision to opt out to [email protected] or by mail to WoundEducators.com, Inc., 4521 PGA Blvd #508, Palm Beach Gardens, FL 33418, Attn: Legal within thirty (30) days of first accepting these Terms. Your notice must include your full name, your account email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other portion of these Terms.
19.7 Federal Arbitration Act
This Section is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq., to the maximum extent permitted by law.

22. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and the Refund and Course Access Policy, constitute the entire agreement between you and WoundEducators regarding the Services and supersede any prior agreements.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law.
- No waiver. Our failure to enforce any right or provision will not be a waiver of that right or provision.
